TVTY Terms of Service

TVTY provides the User with certain services which enable the User to synchronize the broadcast of advertisings or other marketing actions with specific data and/or events (“Services“). The Services are subject to (i) these terms and conditions (“Terms“), (ii) the terms and conditions of any applicable order form that the User enters into which specifically refers to these Terms (“Order Form“) and (iii) any additional terms and conditions that the User has accepted, each of which are hereby incorporated by reference and together with the Terms form the “Agreement“.

1. Definitions

In the Agreement: “Account” means the User’s account on the Platform. “Affiliates” means, with respect to an entity, any other entity that directly or indirectly controls, is controlled by, or is under common control with such entity. “Distribution Platforms” means third party providers of marketing/advertising technologies (such as Adservers, DSPs, search or social marketing platforms), or tracking/analytics technologies, or on-site optimization technologies, or any other technology where the User has indicated one or several Marketing Entities that could trigger one or several Marketing Actions required by the User. “Live Data” means all the data TVTY generates from its own Technology, or collects from third party data provider or from the User, that will be used by the User to create a Synchronization Scenario. Live Data refers to specific television content including but not limited to TV commercials, TV programs, movie trailers, weather data, sport data. “Marketing Action” means an action required by the User and triggered via a Distribution Platform, in accordance with the related Marketing Entity, that the User wants to implement in synchronization with Live Data, such as the broadcast of advertisings (video, display, social media, search). “Marketing Entity” means the configuration information of a Marketing Action (i) indicated by the User on a Distribution Platform, (ii) identifiable by a unique ID chosen by the User and (iii) which aims at triggering the related Marketing Action (such as marketing campaigns, experiments). “Party” / “Parties” means either the User or TVTY, or both the User and TVTY together. “Platform” means the website developed by TVTY to deliver the Technology and provide the Services, available at: https://platform.tvty.tv/. “Representative” means the User if the User is an advertising agency or other entity representing a Third Party within the use of the Services and the Technology. “Synchronization Scenario” means a set of rules and conditions defined by the User on the Platform on the basis of Live Data and Distribution Platforms, with which the User wants to synchronize its Marketing Entities. “Technology” means a technology developed by TVTY that allows the identification of Live Data in order to be synchronized with Marketing Entities through Distribution Platforms. “Third Party” means an advertiser or any other third party the User represents if the User acts as a Representative. “User” means the entity entering the Agreement with TVTY. “TVTY” means TVTY S.A., 14 Rue du Soleillet 75020 Paris, France. RCS 514 539 667 Paris.

2. Access to the Services and the Technology


In order to benefit from the Services and have access to the Technology, the User shall: (i) enter into an Order Form with TVTY, sign the Order Form and return it to TVTY by any appropriate mean; (ii) connect to the Platform by either (a) create an Account by indicating all the required information and accept the Terms by ticking the box at the end of the process of subscription, or (b) if the User already has an Account, indicate its user name and its password; (iii) connect its Account to its accounts on the Distribution Platforms of its choice.

3. Use of the Services and Technology

Once the User has signed an Order Form and created an Account, the User can connect to the Platform by indicating its user name and its password, and define Synchronization Scenarios as many times as it wants, on the basis of the payment terms defined in the Order Form. The User can also modify the list of the Distribution Platforms it wants to be connected with.

4. Data

As between the User and TVTY, the User will own all data derived from its use of Services and Technology provided that TVTY may use and disclose such data solely (i) as aggregate Service statistics, which will not include personally identifiable information or information that identifies or would reasonably be expected to identify the User or any of the Third Parties the User represents if it is a Representative, (ii) to provide Services and enforce its rights under the Agreement (it being understood and agreed that the User’s non-aggregated data will not be used or disclosed to any third party by TVTY (except as otherwise expressly permitted by the Agreement) without the User’s written consent) and (iii) if and as required by court order, law or governmental or regulatory agency (after, if permitted, giving reasonable notice to the User and using commercially reasonable efforts to provide the User with the opportunity to seek a protective order or the equivalent (at the User’s expense)).

5. Payment

(a) The User will pay TVTY the fees as agreed by the Parties, and listed in the Order Form(s) and addenda, within terms and delays agreed in the Order Form(s), and by wire transfer, check or other means expressly agreed to in writing by the Parties in the Order Form. The User acknowledges and agrees that the fees indicated in the Order Form are exclusive of taxes and that the User shall pay all applicable taxes and other government charges. (b) Late payments that are not disputed in good faith bear interest at a rate equal to three times the statutory rate of interest. The User will also be automatically liable for the payment of a fixed rate allowance for recovery costs, for a €40 amount.

6. Obligations of the Parties

(a) TVTY will: (i) provide Services to the User, and obtain all rights necessary to provide Services hereunder; (ii) monitor Live Data according to the Synchronisation Scenarios defined by the User on the Platform; (iii) ensure that Live Data generated from TVTY’s own Technology, or collected from third party data provider have been generated or collected in compliance with all applicable rules. (b) The User will: (i) comply with the process as described in article 2 above and, more generally, with the terms of the Agreement; (ii) if applicable, ensure that Live Data collected from the User have been collected in compliance with all applicable rules. (c) If the User is a Representative: (i) the User agrees to ensure that all provisions of the Agreement are complied with by both the User and any Third Party which it represents. The User shall be directly liable to TVTY for any act or omission in this regard; (ii) the User represents, warrants and undertakes that at all times it is the authorized representative of a Third Party and it is authorized to enter into and perform the Agreement in the name and/or on the Third Party’s behalf. Upon TVTY’s request, the User will immediately deliver to TVTY each agreement that authorizes the User to act on the Third Party’s behalf in connection with the Agreement.

7. Warranties and Liability

(a) The User warrants that it is a company acting as a professional. (b) The User’s password protects its Account, and the User is sole responsible for keeping its password confidential and secure. The User undertakes that it is responsible for all use of its Account on the Platform. If the User’s username or password is lost or stolen, or if the User believes there has been unauthorized access to its Account by third parties, the User shall notify TVTY immediately and change its password as soon as possible. (c) TVTY cannot be liable for (i) the implementation of the Marketing Entities and (ii) the trigger of the Marketing Actions the User decided to synchronize with Live Data according to the Synchronization Scenarios it indicated on the Platform. (d) In the case of Synchronization Scenarios linked to an advertising campaign, the User has sole responsibility for the purchase of the advertising spaces required for the distribution of the synchronized advertising campaigns. The User acknowledges that under no circumstances can TVTY, a mere provider of technical services, be held responsible for the inventories of publishers through which the synchronized advertising campaigns are to be distributed. In particular, TVTY may not be held liable if, at the time when synchronized advertising campaigns are distributed, the concerned publishers do not have an adequate inventory to offer. (e) The User is solely responsible for all use of Services hereunder (including, without limitation building Synchronization Scenarios and connecting its Account to its accounts on the Distribution Platforms selected) and all inquiries relating to Marketing Actions, their trigger and/or implementation. In particular, the User acknowledges that under no circumstances can TVTY be liable because: (i) the User made a mistake when indicating the Synchronization Scenarios on the Platform. In that respect, the User acknowledges and agrees that information registered by TVTY on the Platform prevail over any other information; (ii) of any aspect of the Marketing Actions, their trigger and/or implementation. (f) The User warrants TVTY that the User shall solely bear all and any obligation or responsibility regarding any applicable personal data protection law or regulation for any collection or processing of data implemented by the User within the its own business activity and for the performance of the Agreement. It is expressly reminded that TVTY will not receive from the User any personal data for the performance of the Services but only anonymous information that will not permit to identify, directly or non-directly, any individual working for the User or any of its clients. Therefore TVTY shall not in any manner be considered as personal data controller nor as personal data processor in the meaning of the EU Directive n°95/46/CE and shall not be held responsible for compliance with data protection rules within the framework of the Services provided under the Agreement. (g) Each Party represents and warrants to the other that: (i) it has all right, power, and authority necessary to enter into the Agreement, perform its obligations hereunder and grant the rights it grants to the other Party hereunder; (ii) it will perform its obligations under the Agreement with reasonable skill and care; (iii) it will comply with all applicable laws, regulations, orders and other requirements of any governmental authority related to the performance of its obligations under the Agreement.

8. Limitation of Liability

To the fullest extent permitted by applicable law: (i) no Party to this Agreement shall be liable for any indirect damages (including, without limitation, damages for loss of business profits, loss of business opportunity, loss of or corruption of data, loss or damage resulting from third party claims, business interruption, good will, or other pecuniary loss) whether in contract, tort (including without limitation negligence) or any other legal theory, even if advised of the possibility of such damages and notwithstanding any failure of essential purpose of any limited remedy; and (ii) each Party’s aggregate liability under the Agreement shall not exceed the greater of (a) the amounts paid or payable under the Agreement, or (b) €150,000. Notwithstanding anything to the contrary, nothing in this Section or this Agreement shall be construed to exclude or limit any liability of either party which cannot be excluded or limited under applicable law (such as for death or personal injury caused by negligence or for fraud or fraudulent misrepresentation).

9. Indemnification

(a) TVTY agrees to defend the User (including its parents, subsidiaries, officers, directors, employees, and Affiliates), against any claim by a third party that is related to TVTY’s breach of any representation or warranty made herein. TVTY agrees to indemnify the User for settlement amounts or damages, liabilities, costs and expenses (including attorneys’ fees) awarded and arising out of such claims. (b) The User agrees to defend TVTY (including its parents, subsidiaries, officers, directors, employees, and Affiliates) against any claim by a third party that is related to (i) the Marketing Actions and their implementation; (ii) The User’s breach of any representation or warranty made herein; (iii) if the User is a Representative, its relationship with the Third Parties it represents. The User agrees to indemnify TVTY for settlement amounts or damages, liabilities, costs and expenses (including attorneys’ fees) awarded and arising out of such claims. (c) Upon the assertion of any claim or the commencement of any suit or proceeding against an indemnitee by any third party that may give rise to liability of an indemnitor hereunder, the indemnitee shall promptly notify the indemnitor of the existence of such claim specifying the nature of the action, the total monetary amount and/or other relief sought therein. The indemnitee shall give the indemnitor a reasonable opportunity to defend and/or settle the claim at its own expense and with counsel of its own selection. The indemnitee shall have the right to employ separate counsel and participate in the defence at its sole expense. Neither Party shall settle any claim without the prior written approval of the other Party, such approval not to be unreasonably withheld.

10. Confidentiality

(a) For the purposes of this Article, the term “Confidential Information” designates any information in any form emanating directly or indirectly from one of the Parties (or from a company in the same group or from one of its directors, employees, consultants or agents) and includes compilation in a form which has not previously been publicly available of information which is publicly available in other forms. Confidential Information includes the following items (non-exhaustive list): (i) the terms and conditions of the Agreement; (ii) any information, document or data in any form whatsoever communicated by one or other of the Parties and relating to the Platform, the Technology and the User’s products or services or the ones of the Third Parties the User represents if it is a Representative; (iii) information of any nature relating to the commercial policy of one of the Parties. Information is not considered to be Confidential Information if: (i) it is already in the public domain at the time it is disclosed; (ii) after disclosure, it has become publicly known other than due to a breach of the Contract; (iii) the Party which received the information can demonstrate that it was already aware of the information and was not subject to any obligation of confidentiality or restriction of use in relation to it at the time when the said information was disclosed by the other party; or (iv) the Party which received the information can demonstrate that it was generated independently by the personnel of companies belonging to the same group, who were not aware of the information disclosed by the other Party. (b) The Parties shall not pass on Confidential Information received during the period of validity of the Agreement, even after the expiry of the said Agreement, whatever the reason for termination, and shall use it only in strict pursuit of the purposes of the Agreement and with the prior written agreement of the Party which disclosed it. They shall limit the distribution of Confidential Information to what is strictly necessary for the effective execution of the Agreement and shall pass on this obligation of confidentiality to those to whom such information is disclosed. Each of the Parties shall return to the other Party all media carrying Confidential Information which it owns, on expiry of the Agreement and on written request at any time. The obligation of confidentiality for which this article provides shall endure so long as the Confidential Information is not published by its owner. (c) Notwithstanding the above, following written authorization given by the Party who holds the rights, the other Party may for the purposes of internal and external communications respectively make known the fact of the signature of the Agreement, and mention the name and branding of the other Party on any material which it may distribute to its respective Partners and/or business prospects. A communication from one of the Parties mentioning the other party should be given prior agreement by any written means by the party concerned.

11. Force Majeure

TVTY shall have no liability under the Agreement (to the fullest extent permitted by applicable law) by reason of any failure or delay in the performance of its obligations on account of strikes, shortages, riots, acts of terrorism, insurrection, fires, flood, storm, explosions, earthquakes, Internet and/or electrical outages, computer viruses, acts of God, war, governmental action, or any cause that is beyond TVTY’s reasonable control.

12. Modification and Termination

(a) TVTY may change the Terms at any time by making them available on the website www.tvty.tv/terms-conditions and, in case of substantial modifications, by providing the User with a written notice by any appropriate mean (email, letter…). The new Terms will enter into force within a 15 day delay following the day TVTY sends the notice to the User. Any use by the User of the Services, the Technology or the Platform after such notice shall be deemed to be continued acceptance by the User of the then current Terms. If the User does not agree to such amended Terms, it must immediately: (i) notify TVTY in writing; and (ii) stop using the Services, the Technology and the Platform. (b) The Agreement shall remain in force until written termination is served by either Parties. Termination can take place at any time providing written notice of three (3) months is served. Termination must be sent either by electronic mail with read or delivery receipt or by recorded delivery letter. (c) In the event of failure by one of the Parties to fulfil any of its obligations, the termination will take place automatically after the despatch of a formal warning sent either by electronic mail with read or delivery receipt or by recorded delivery letter and receiving no response within 8 days of its delivery. (d) In case of termination of the Agreement, the User’s Account will be immediately closed and disconnected from its accounts on the Distribution Platforms. The User will have no longer access to the Platform, the Services and the Technology and will have to pay to TVTY the Services provided by TVTY until the date of the termination, if any. (e) Upon termination of the Agreement, any personally identifiable information or information that identifies or would reasonably be expected to identify the natural person acting on behalf of the User for the purpose of access and use of the Services and Technology shall be deleted permanently.

13. IP

All the components of the Platform and the Technology, be they visual or audio components, including the underlying technologies and the database, are covered by copyright, trademarks, patents, designs or any other protection granted by any applicable intellectual property rights. They are TVTY’s exclusive property. Any reproduction, representation, adaptation, or any unauthorized use of all or part of any of the components of the Platform or the Technology may constitute an infringement of TVTY’s intellectual property rights which may result in civil and criminal liability for the person infringing or participating in the infringement of such rights. Embedding a hyperlink in the Platform to any other website by using the technique known as “framing” or “deep linking” is strictly prohibited.

14. Miscellaneous

(a) To the fullest extent permitted by applicable law of the User’s country, the User acknowledges and agrees that: (i) the Agreement and any dispute or claim arising out of or in connection with it (including any dispute or claim relating to non-contractual obligations) shall be governed by and construed in accordance with the laws of France; (ii) the courts within the jurisdiction of the Court of appeal of Paris shall have exclusive jurisdiction to settle any dispute or matter arising out of or in connection with the Agreement (including any non-contractual disputes or claims). (b) The Agreement and any other document or information expressly referred to therein constitute the entire agreement between the User and TVTY regarding the subject matter to which it relates and supersede and extinguish all previous agreements, understandings, proposals, representations, claims, and communications regarding that subject matter. (c) All notices of termination or breach of the Agreement must be in writing and addressed to the other Party’s Legal Department (or if it is not known if the other party has a Legal Department then to the other Party’s primary contact). The email address for notices being sent to TVTY’s Legal Department is legal@tvty.tv. All other notices must be in writing and addressed to the other Party’s primary contact. Notice will be treated as given on receipt, as verified by written or automated receipt or by electronic log (as applicable). (d) In the event of a conflict between the Terms and the Order Form, the conflict shall be resolved to the extent necessary to do so according to the following order of precedence: (i) Order Form provided that it has been properly executed on behalf of both the User and TVTY by duly authorised representatives; (ii) Terms. (e) Neither Party will be treated as having waived any rights by not exercising (or delaying the exercise of) any rights under the Agreement. If any term (or part of a term) of the Agreement is invalid, illegal or unenforceable, the rest of the Agreement will remain in full force and effect. (f) Neither Party may assign any part of these Terms without the written consent of the other Party, except to an Affiliate but only where (i) the assignee agrees in writing to be bound by these Terms, (ii) the assigning Party remains liable for obligations under these Terms if the assignee defaults on them, and (iii) the assigning Party has notified the other Party of the assignment. In addition, TVTY may assign any debt which is owed to TVTY by the User to a third party without the User’s consent. Any other attempt to transfer or assign is void. (g) The User and TVTY are independent contractors and nothing in the Agreement shall be construed to create evidence or imply any agency, employment, partnership, or joint venture between the User and TVTY.

1. ACCEPTATION DES CONDITIONS GÉNÉRALES DE VENTE


Par la souscription d’un ordre de publicité par un annonceur ou par un mandataire agissant pour son compte, ces derniers : • reconnaissent avoir pris connaissance des Conditions Générales de Vente énoncées • ci-après, en accepter les termes et leur application ; • s’engagent à respecter les lois, règlements et usages régissant la publicité et la communication commerciale audiovisuelle • un ordre de publicité peut être indifféremment appelé ordre d’achat d’espace, ODP, ordre d’insertion, OI, ou bon de commande. Ce terme aura la même signification dans toutes les CGV

2. ATTESTATION DE MANDAT

Dans l’hypothèse où l’ordre de publicité est adressé à TVTY par un mandataire, l’annonceur doit faire parvenir à TVTY, avant le début de la campagne publicitaire, une attestation de mandat (accréditant la société intermédiaire, et précisant si celle-ci agit pour l’année en cours ou pour une période déterminée et pour quel(le)s produits et missions déterminé(e)s. Les attestations de mandat valables pour l’année 2020 doivent être adressées par email : au format PDF auprès du contact commercial en relation avec TVTY. TVTY n’accepte les ordres d’achat d’espaces passés par un sous mandataire que si l’annonceur a expressément autorisé par écrit la substitution de mandat. Dans tous les cas, l’annonceur est tenu d’exécuter les engagements contractés par son mandataire (ou par son sous mandataire) conformément au pouvoir qui lui a été donné. L’ordre de publicité est personnel à l’annonceur. Il ne peut être cédé, même partiellement, sauf accord préalable écrit de TVTY. En particulier lorsque l’annonceur change de mandataire, l’espace ayant fait l’objet d’une option ou d’un achat ferme par le précédent mandataire ne peut être transféré à un autre annonceur. En cas de modification ou de résiliation du mandat en cours d’année, l’annonceur doit en informer aussitôt TVTY par lettre recommandée avec accusé de réception et demeure tenu des engagements pris antérieurement à ladite notification par son mandataire.

3. MODALITÉS D’ACHAT D’ESPACE


Tout ordre doit faire l’objet d’un bon de commande (Ordre d’Insertion) souscrit ou d’un contrat de parrainage signé par l’annonceur ou son mandataire. Ce bon de commande ou contrat de parrainage doit être renvoyé à TVTY au plus tard 7 jours avant la date de début de mise en ligne de la campagne publicitaire sur les sites concernés.

4. REPORT OU ANNULATION D’ORDRE

Tout report d’ordre de publicité signé ou validé par e-mail par un annonceur ou son mandataire social doit impérativement être adressé à TVTY par e-mail et sera assujeti aux pénalités suivantes : • 80% du montant annulé restant à diffuser pour une notification faite après le date de première diffusion. • 70% du montant annulé pour une notification faite moins de 5 jours ouvrés avant la date de première diffusion ; • 50% du montant annulé pour une notification faite moins de 15 jours ouvrés avant la date de première diffusion ; • 30% du montant annulé pour une notification faite moins de 30 jours ouvrés avant la date de première diffusion ; • 80% du montant annulé restant à diffuser pour une notification faite après le date de première diffusion. Toute modification d’Ordre Insertion, concernant les éléments publicitaires de l’annonceur à diffuser, en cours de campagne publicitaire, impactant le plan de diffusion d’origine sera susceptible d’une mise à jour, par le biais d’un nouvel Ordre d’Insertion, des conditions commerciales (CPM, délai livraison, linéarité́ de diffusion, répartition par device…) tenant compte de la nature et de la complexité́ de ces modifications. Ces modifications pourront nécessiter un délai d’actualisation technique entrainant un décalage de tout ou partie de la campagne, et ce sans que l’annonceur et/ou le mandataire puisse(nt) s’y opposer. Aucune indemnité́ de compensation ne pourra être réclamée par le client à TVTY à ce titre.

5. CONFORMITÉ DES MESSAGES PUBLICITAIRES

5.1. TVTY se réserve le droit de refuser l’exécution de tout ordre de publicité ou de l’interrompre : • s’il lui apparaît non-conforme aux lois, règlements et usages régissant la publicité et la communication digitale (notamment relatifs aux secteurs interdits, aux services de média audiovisuels à la demande) ainsi qu’aux intérêts de l’éditeur ou de son groupe • si une autorité compétente juge a posteriori un message non conforme et qu’il en interdit toute nouvelle diffusion et/ou qu’il demande son retrait. Dans ce cas ainsi que dans tous les cas de non conformité d’un message publicitaire, l’annonceur sera tenu au paiement de la totalité de la campagne ainsi que, le cas échéant, des frais techniques et de tout dédommagement lié à la mise en ligne et à la diffusion de ce message publicitaire, tant vis-à-vis de TVTY que des tiers, TVTY n’étant redevable ni de compensations, ni d’indemnités envers l’annonceur, ses mandataires ou les tiers intéressés. 5.2. TVTY est en droit de demander à l’annonceur et/ou au mandataire tout document nécessaire à l’appréciation de la conformité des messages aux lois, règlements et usages régissant la publicité et la communication audiovisuelle. L’annonceur et/ou son mandataire s’engagent à communiquer ces documents dans les plus brefs délais.

6. RESPONSABILITÉ DE L’ANNONCEUR

6.1. Tout message publicitaire est mis en ligne sous la seule responsabilité́ de l’annonceur. L’annonceur, ses prestataires et/ou mandataires (agence de publicité, agence média, producteur du film publicitaire) déclarent que la production publicitaire est légale et n’enfreint pas les lois, règlements et usages régissant la publicité et la communication audiovisuelle et digitale. Ils garantissent conjointement et solidairement M6 Publicité et l’éditeur contre toute réclamation et tout recours de toutes personnes, et tout particulièrement de la part des auteurs, producteurs, réalisateurs, compositeurs, interprètes et de toute personne physique ou morale qui s’estimerait lésée par la diffusion du message. En particulier, l’annonceur garantit TVTY et l’éditeur contre tout recours que la société tierce en charge de la création pourrait faire prévaloir sur la création publicitaire. L’annonceur et/ou le mandataire s’engagent à se conformer à toute modification apportée en cours d’année à la législation et/ou la réglementation et/ou à l’interprétation des autorités administratives ou judiciaires et ayant une incidence sur la publicité et/ou la communication audiovisuelle et/ou digitale. 6.2. RESPECT DE LA RÉGLEMENTATION APPLICABLE À LA PROTECTION DES DONNÉES ET AUX COOKIES L’annonceur s’engage tant en son nom et pour son compte qu’au nom et pour le compte de tout éventuel prestataire et/ou mandataire, sous-traitants ou non (ensemble désignés « qu’au nom et pour le compte de tout éventuel prestataire et/ou mandataire, sous- traitants ou non (ensemble désignés « l’Annonceur » pour les besoins du présent article) à respecter l’ensemble des dispositions légales, règlementaires, interprofessionnelles et/ou déontologiques applicables relatives à la protection des données des utilisateurs, au traitement de données de communications électroniques et à l’utilisation de technologies de traçage telles que les cookies et à la prospection directe (ci-après ensemble « les Règles Applicables Relatives à la Protection des Données ») et s’engage de manière générale à sécuriser les données des utilisateurs auxquelles il pourrait avoir accès. En outre, en cas de modification des Règles Applicables Relatives à la Protection des Données en cours d’année, l’Annonceur s’engage à s’y conformer. L’Annonceur considéré comme étant responsable du dépôt et/ou traitement des cookies (ci-après désigné « le déposant ») s’interdit notamment le dépôt de cookies, tags ou autres traceurs (désignés ensemble les « Cookies ») sur les terminaux des utilisateurs à l’occasion de toute campagne publicitaire confiée à TVTY (notamment lors de l’exécution des ordres de publicité), pour quelque raison que ce soit, sans en avoir au préalable informé TVTY, étant précisé qu’une fois cette collecte validée par M6 Publicité et contractualisée spécifiquement, les seules données qui pourront être collectées par le biais de ces Cookies sont des informations de navigation des utilisateurs non directement identifiantes ou identifiables concernant les contenus consultés sur les sites internet ou sur les services sur lesquels est diffusée la campagne concernée, à des fins de mesure (statistiques analyses, bilans, comptage, etc.) et/ou afin de permettre à l’annonceur d’adapter ses messages publicitaires (par catégorie d’âge, de sexe …), dans le respect des Règles Applicables Relatives à la Protection des Données. Ainsi, avant tout dépôt de Cookies le déposant devra porter à la connaissance de TVTY tout élément utile relatif : • aux caractéristiques techniques des Cookies déposés, • au type d’informations collectées par l’intermédiaire des Cookies, • à la finalité de la collecte d’information effectuée par l’intermédiaire des Cookies, • au(x) destinataire(s) des informations collectées par l’intermédiaire des Cookies, • à la durée de vie des Cookies sur le terminal des utilisateurs (étant précisé que les Cookies déposés ne devront pas pouvoir être conservés sur les terminaux des utilisateurs au-delà de la durée légale de vie des Cookies conformément aux Règles Applicables Relatives à la Protection des Données), • au lieux d’hébergement et de stockage des données. Il est rappelé que, dans le cadre des Règles Applicables Relatives à la Protection des Données, l’utilisateur doit pouvoir à tout moment, simplement et gratuitement, choisir de refuser l’enregistrement de Cookies sur son terminal, ce que l’annonceur, son prestataire et/ou son mandataire reconnaissent et acceptent expressément. En cas de manquement par le déposant à l’un ou l’autre des obligations susvisées et/ ou à toutes dispositions légales, règlementaires et interprofessionnelles, TVTY se réserve le droit de solliciter du déposant la mise en conformité, la désactivation ou le retrait des Cookies déposés à l’occasion de l’exécution d’une campagne confiée à TVTY, ou de refuser l’exécution de l’ordre de publicité portant sur la campagne concernée ou de l’interrompre, si un Cookie utilisé dans le cadre de ladite campagne n’a pas été déposé ou exploité en conformité avec les règles susvisées. Dans cette hypothèse, l’Annonceur sera tenu au paiement de la totalité de la campagne ainsi que, le cas échéant, des frais techniques et de tout dédommagement éventuel lié au dépôt ou au traitement du Cookie concerné, sans préjudice de tous dommages et intérêts et frais d’avocats dont le remboursement pourrait être réclamé en justice par TVTY du fait de tout manquement aux obligations de l’Annonceur. Le cas échéant, TVTY appliquera également des pénalités journalières d’un montant de 200 € par jour de non diffusion du message publicitaire et l’Annonceur sera redevable du paiement d’une indemnité forfaitaire pour frais de recouvrement d’un montant égal à 40 € (étant entendu que si les frais de recouvrement engagés par TVTY sont supérieurs au montant de cette indemnité forfaitaire, TVTY demandera, sur justification, une indemnisation complémentaire à l’Annonceur concerné), et ce, sans préjudice de.

7. MATÉRIEL

7.1. L’annonceur devra respecter les prescriptions techniques de TVTY concernant la fourniture du matériel (ex : format des bandeaux publicitaire, etc.). Des prestations techniques complémentaires pourront être nécessaires et facturées à l’annonceur sur devis préalablement accepté par celui-ci. Si, pour des raisons techniques le matériel publicitaire se révèle impropre à la diffusion et/ou l’annonceur ne peut fournir un autre format publicitaire dans les délais impartis avant la mise en ligne prévue, le prix de la campagne reste intégralement dû par l’annonceur comme si la diffusion avait effectivement eu lieu. En cours de campagne, TVTY ne peut être tenue pour responsable du changement du contenu du matériel publicitaire effectué par l’annonceur ni des pertes et dommages subis par le matériel. Néanmoins et afin de garantir la meilleure qualité́ possible de diffusion, TVTY pourra demander à recevoir de nouveaux éléments techniques en cours de campagne. La livraison des créations sous forme de spots vidéo et/ou nécessitant l’intervention d’un prestataire extérieur à TVTY le cas échéant, devra obligatoirement avoir lieu au plus tard 5 jours ouvrés avant le premier jour de la campagne. La livraison des créations « classiques » (c’est-à-dire des créations qui ne sont pas sous forme de spots vidéo et/ ou nécessitant l’intervention d’un prestataire extérieur) devra avoir lieu de préférence 5 jours ouvrés avant le début de la campagne et en tout état de cause au plus tard 3 jours ouvrés avant le début de la campagne. 7.2. Si le délai de remise du matériel n’est pas respecté́, les erreurs ou omissions éventuelles dans la mise en ligne de cette campagne engageraient la seule responsabilité de l’annonceur et/ou de son mandataire. Ce retard libèrera totalement TVTY de l’engagement de volume sur la période contractuelle et du respect du calendrier prévu contractuellement initialement mais TVTY facturera la totalité du volume réservé sur l’ordre d’insertion. 7.3. Par ailleurs en sus de ce qui précède et en fonction du retard pris par le client dans la livraison des créations, TVTY se réserve le droit d’appliquer au client des pénalités journalières variables selon les cas suivants : • en cas de livraison des créations vidéo entre 3 jours ouvrés et 24h ouvrées avant le début de la campagne, TVTY n’appliquera pas de pénalités journalières au client ; • en cas de livraison des créations spots vidéo et/ou nécessitant l’intervention d’un prestataire extérieur à TVTY le cas échéant, entre 5 jours ouvrés et 24h ouvrées avant le début de la campagne, TVTY n’appliquera pas de pénalités journalières au client ; • en cas de livraison des créations quelles qu’elles soient à moins de 24h ouvrées avant le début de la campagne, TVTY appliquera des pénalités journalières d’un montant de 200 €. Toute réclamation concernant la mise en ligne d’un message publicitaire doit être impérativement faite par écrit, à peine de déchéance dans les 4 jours après diffusion dudit message. En tout état de cause les retards seront traités conformément aux dispositions du paragraphe 8.2 ci-avant.

8. EMPLACEMENTS PUBLICITAIRES

TVTY pourrait être amenée à déplacer ou à supprimer une publicité pour toute raison indépendante de sa volonté, et notamment en cas de difficulté technique, et de façon générale, en cas de force majeure. TVTY en informera l’annonceur concerné et/ou son mandataire. Il est expressément convenu que la responsabilité de TVTY est, en toute hypothèse, toujours limitée à la valeur de l’espace publicitaire facturé.

9. FACTURATION

9.1. L’annonceur pour lequel TVTY aura formulé de telles demandes devra fournir lesdites garanties et/ou le règlement d’avance au plus tard 10 jours ouvrés avant la première exécution de l’ordre de publicité. TVTY n’accorde pas d’escompte de règlement. 9.2 . Les prix sont indiqués hors taxes : les impôts et taxes afférents à l’ordre de publicité au moment de la diffusion sont à la charge de l’annonceur. 9.3. La facturation des messages publicitaires est établie mensuellement. 9.4. Les campagnes publicitaires diffusées sont payables au plus tard à 30 jours date de facturation. A défaut, les pénalités et sanctions prévues à s’appliqueront de plein droit. TVTY se réserve le droit de demander avant toute exécution de l’ordre de publicité le règlement d’avance ou une caution bancaire ou toute autre garantie dans notamment les cas suivants : • pour tout annonceur n’apportant pas de garanties satisfaisantes à TVTY sur sa solvabilité, • pour tout annonceur avec qui TVTY a été précédemment confronté à des retards et/ou défauts de paiement des sommes dues par lui dans le cadre de ses achats d’espaces publicitaires effectuées auprès de TVTY. L’annonceur pour lequel TVTY aura formulé de telles demandes devra fournir lesdites garanties et/ou le règlement d’avance au plus tard 10 jours ouvrés avant la première exécution de l’ordre de publicité. TVTY n’accorde pas d’escompte de règlement.

10. PAIEMENT

Le paiement des factures émises par TVTY s’entend exclusivement en numéraire (hormis pour les échanges). L’annonceur est dans tous les cas responsable du paiement des ordres et des intérêts de retard. Le paiement effectué au mandataire ne libère pas dans l’hypothèse où TVTY serait amenée à émettre un avoir qui sera imputé : • sur la facture concernée par ledit avoir ou • si ladite facture a d’ores et déjà été réglée, sur la facture la plus ancienne de l’annonceur. Cet avoir pourra être adressé au mandataire dans l’hypothèse où l’annonceur a chargé celui-ci par attestation de mandat d’encaisser ledit avoir. Dans ce cas, le paiement effectué dans ce cadre au mandataire libère TVTY vis à vis de l’annonceur.

11. TARIFS

11.1. Les tarifs, sauf stipulation expresse et écrite d’une modification par TVTY, sont ceux mentionnés sur le bon de commande signé par l’annonceur ou son mandataire. 11.2. TVTY se réserve le droit de modifier les tarifs des formats publicitaires, notamment dans le cas d’une programmation liée à un évènement exceptionnel ou dans le cas de modification(s) des supports et/ou formats proposés par la régie. Dans ce cas, TVTY informera l’annonceur ou son mandataire de ladite modification du support et/ou format publicitaire et du tarif applicable. L’annonceur ayant réservé ces espaces avant modification de leurs tarifs les conservera aux tarifs initialement proposés. TVTY n’enverra pas à l’annonceur ou son mandataire un nouvel ordre de publicité.

12. RÉFÉRENCES COMMERCIALES

Au terme des présentes, l’annonceur autorise expressément TVTY à le citer à titre de référence commerciales.

13. CONFIDENTIALITÉ

L’annonceur et son mandataire ainsi que l’éditeur et TVTY s’engagent à observer toute confidentialité sur toutes les informations écrites ou orales ainsi que sur les dispositions figurant dans tous les documents contractuels échangés entre les parties.

14. COMPÉTENCES

Toute contestation ou litige pouvant résulter de l’interprétation ou de l’application de l’ordre de publicité et des Conditions Générales de Vente exprimées ci-dessus, est de la compétence des tribunaux de Paris, même en cas de connexité, appel en garantie ou pluralité des défenseurs. Les Conditions Générales de Vente prennent effet à partir du 1er janvier 2020. TVTY et l’éditeur se réservent le droit de modifier tout ou partie de ces Conditions Générales de Vente en cours d’année, en particulier en fonction de la législation.

15. DISPOSITIONS DIVERSES

Les statistiques de livraison des campagnes fournies par TVTY à l’annonceur et/ou au mandataire feront foi et ce, quel que soit le support de livraison des publicités (PC, IPTV, mobile, tablette, etc.) et ne pourront en aucun cas et en aucune manière être contestées par l’annonceur et/ou le mandataire. Le mandataire et/ou l’annonceur s’engage à ne pas utiliser d’outils dits de tracking visant à réaliser des mesures spécifiques de performances de leur(s) campagne(s), à l’exception des outils de tracking classiques de comptage d’impressions (pixel de comptage), sans autorisation préalable expresse de TVTY. Dans l’hypothèse où TVTY donnerait son autorisation pour l’utilisation exceptionnelle de tels outils, le mandataire et/ou l’annonceur et/ou l’éventuel prestataire tiers autorisé en charge de la mise en place et de l’utilisation desdits outils, s’engage à transmettre à TVTY l’intégralité des résultats et analyses de performance obtenue dans le cadre des campagnes délivrées par TVTY. Le cas échéant, le nom et type d’outil concerné, les modalités d’utilisation desdits outils ainsi que les finalités de ces outils et les usages envisagés des rapports et données fournies par ces outils seront fixées par écrit et d’un commun accord entre les parties, étant précisé que l’annonceur et/ou le mandataire ou tout prestataire autorisé en charge de ces outils devra en tout état de cause respecter la règlementation applicable dans le domaine concerné (gestion des données publicitaires).

Terms and Conditions - TV To Web (TVTY Inc.)

1. Scope

1.1. These general terms and conditions (the “General Terms and Conditions”) apply to all purchases of products (including in particular hardware and software) (the “Products”) or services (the “Services”) concluded between the Company TVTY Inc., a company incorporated in Delaware under File Number 5527877, and located at C/O Axelia Partners, 185 Alewife Brook Parkway, #210, Cambridge, MA 02138, USA (hereinafter “TVTY”) and (b) the Client, acting in a professional capacity.

1.2. These general terms and conditions of sale are brought to the attention of all Clients. They are applicable to any sale of products or services, for any contract concluded between TVTY and its Clients in the US or abroad, regardless of the place of delivery, unless otherwise stipulated in writing and signed. Any condition contrary to the present General Terms and Conditions laid down by the Client, in its general terms and conditions of purchase or in any other document, shall not be enforceable against TVTY, regardless of the moment when it may have been brought to its attention, unless TVTY has given its prior written consent.

2. Purpose

The purpose of these General Terms and Conditions is to define the terms and conditions applicable to the Products or Services ordered by the Client. TVTY consents to the Client, who accepts:

  • A right of access to TVTY’s servers under the conditions defined below;
  • A right of final use of the Solutions;
  • A set of Services defined below, including technical assistance and advice from your “Customer Success” team, data hosting and maintenance of Application Services.

By placing an order, the Client undertakes to comply with these General Terms and Conditions. Any waiver by TVTY of one or more of the clauses contained in these General Terms and Conditions does not affect the validity of the other clauses which, by express agreement, remain applicable.

The fact that the Client signs any order form implies its full and unreserved acceptance of them. TVTY reserves the right to amend these Terms and Conditions at any time without notice. Any amendment to the General Terms and Conditions that may be made by TVTY shall be brought to the Client’s attention.

The Client is personally responsible for all the necessary legal, regulatory or administrative authorizations that could be enforced against it in the use of the Service, due to its particular situation.

In the absence of express mention, any quotation or order form issued by the Company is valid for thirty

(30) days from its date of issue. The Service or Sales Contract shall only become firm and definitive once a copy of the order form signed by the Client has been returned to TVTY. Without any other statement, the sending of TVTY’s invoice to the Client constitutes acceptance of the service or sales contract.

Any deviation from these GTC shall have no legal value, unless previously agreed in writing between the Parties.

3. Definitions

  • Client: Refers to the legal entity or natural person subscribing to the Service.

  • Contract : Refers to the order form and its appendices including the General Conditions. The Contract and its appendices, including the General Terms and Conditions, constitute the entirety of the commitments existing between the Parties.

  • Tracking data: Refers to the information relating to Internet users’ journeys. This information is collected by means of computer software (Javascript tracker, server tracker, in-app tracker, etc.) designed and maintained by TVTY, the configuration of which is defined by the Client and which the Client is responsible for adding to the website or mobile application and triggering.

  • Portal data: Refers to the information, publications and, in general, the data in the Client database, the use of which is the subject of this Contract and which may be consulted by TVTY.

  • Access rights / Identifiers: Refers to the confidential login and password allowing the Client to access the Interface.

  • Hosting: Provision of storage and processing of Portal Data to make it accessible to users of the Internet network connected to the server.

  • Interface: Refers to the online (web) page accessible with the Access Rights and allowing in particular the consultation of the Portal Data.

  • Indexes: All the information collected and entered by the Client and intended to be indexed and hosted on the Server.

  • Partner: Designates the company TVTY as publisher of the SaaS solution.

  • Retention of Tracking Data: The Tracking Data collected is kept in its original form for a period of 13 months. This duration can be freely configured by the Client in its configuration interface but may not exceed 13 months. At regular intervals and in an automated way, the Client’s Tracking Data exceeding the defined retention period is permanently deleted, without any possibility of restoring it. The definitive removal of the Tracking Data implies that it shall no longer be possible to recalculate Portal Data older than the configured retention period. At any time, the Client is free to request a total removal of the Tracking Data.

  • Portal Data Retention: Portal Data is a collection of anonymized and aggregated personal data or non-personal data (e.g. the exact timing of the broadcast of a TV spot). Thus, it is not necessary to define a specific retention period. The Portal Data shall remain available indefinitely, subject to major functional changes to the Portal that would no longer allow it to be displayed. In this case, a complete export of all the tabs shall be suggested. The Client is free to request a total removal of the Portal Data at any time.

  • SaaS: acronym for Software as a Service, designates the service provided by TVTY, i.e. the delivery of applications on a rental model which the Client accesses via the Internet for a subscription and fees.

  • Server: Hardware and software infrastructure of TVTY connected to the Internet network and intended to host the indexes of the Client.

  • Service or Solution: All of the services made available by TVTY, in particular in terms of its TVTY offer. These services, which themselves include options, are based on a SaaS (Software as a Service) type technical solution that TVTY has developed and which it operates, maintains, and makes available.

  • Snapshot: All the files of an index produced by saving an index on a Server.

  • User: Refers to the person placed under the Client’s responsibility (agent, employee, representative, etc.) and which has Identifiers for access to the Application Services on behalf of the Client.

4. Effect, Duration and Renewals

The Contract is concluded for a fixed term and takes effect from the signature of the order form.

In the case of an annual contract, the Contract shall end at the end of the calculation period after the last spot of the campaign in question has been broadcasted. The calculation period includes the remanence period plus the target linkage period. Without any specific configuration requested by the Client, these periods are respectively set at 7 and 30 days. Nevertheless, these access rights are maintained for six (6) months so that the Client can recover the Portal Data of its said campaign.

5. Solution description

5.1. Application Solutions

TVTY offers the use of its Solution as well as data hosting. This application and data are accessible via a web portal. The Solution is a platform to measure and analyze the performance of TV campaigns on the site and/or the application and/or call centers of the Customer and/or any other area where the brand would be promoted (Amazon, Store …).
Under the terms of the License section, TVTY grants the Client the right to use the designated Solution on a non-exclusive basis.

TVTY ensures the hosting of the Portal Data, the maintenance and the security of the Solution.

5.2. Access to Solutions

  • Subscription: The Client subscribes to the Service by signing the order form or the commercial proposal and its possible appendices.
  • Activation: TVTY undertakes to make the Service accessible no later than 2 working days after the launch of the campaign initiated by the Client. As soon as the access rights have been issued to the Client by email, the Solutions are deemed to have been delivered.
  • Training: At the Client’s request, TVTY shall present the various Services of its software to the Client via an e-meeting (meeting over the Internet).

TVTY undertakes to make the Service accessible, seven days a week and 24 hours a day; however, TVTY reserves the right to close access to the Server to ensure the maintenance of the hardware and software necessary to host the Service.

TVTY undertakes to inform the Client as soon as possible of any interruption of access to the Service for any reason whatsoever.

Only the Client shall use this right of access. It shall be able to log on at any time – except during maintenance periods – namely:

  • 24 hours a day,
  • 7 days a week,
  • Including Sundays and public holidays,
  • With the assistance of TVTY’s technical teams on working days and during working hours

The Client’s identification when accessing the Application Services is done by means of:

  • An Identifier allocated to each User by TVTY,
  • And a password given to the Client by TVTY.

The Client shall use the Identifiers that have been communicated to it. It shall then use its Identifiers (including its new password) each time it connects to the Application Services.

The Identifiers are intended to reserve access to the Solutions covered by the Contract to the Client’s Users, to protect the integrity and availability of the Solutions, as well as the integrity, availability and confidentiality of the Client’s Data as transmitted by the Users.

The Client is entirely responsible for the use of the Identifiers and is responsible for the keeping of the access codes given to it. It shall ensure that no other person not authorised by TVTY has access to the Application Services and Solutions. In general, the Client assumes responsibility for the security of individual access points to the Solutions. In the event that the Client becomes aware that another person is accessing the site, the Client shall inform TVTY without delay and confirm this by registered mail.

By placing an order, the Client acknowledges that it has all the information it needed, in particular to determine the suitability of the functionalities subscribed for its needs. As a security measure, in the event of loss or substitution of its Identifiers, the Client may obtain new Access Rights by written request to TVTY.
Under no circumstances, the Client may grant guarantees, assume commitments, or enter into obligations on behalf of TVTY.

6. Quality of applications

The Client is warned of the technical hazards inherent to the Internet and the interruptions in access that may result therefrom. Consequently, TVTY shall not be held liable for any unavailability or slowdown of the Application Services due to Internet network problems. TVTY is not able to guarantee the continuity of the Application Services, executed online via the Internet, which the Client acknowledges.

TVTY shall carry out regular checks of the Server’s compliance. TVTY undertakes to correct any anomaly encountered without delay.

The Application Services may occasionally be suspended due to maintenance interventions necessary for the proper functioning of TVTY’s platform. In the event of an interruption of the Application Services for maintenance, TVTY undertakes to comply with the procedure for operations described below in the Maintenance section so that the Client can be informed of the interruption as well as possible, and so that it can take steps sufficiently in advance to avoid any disruption to its activity.

TVTY may not be held responsible for the possible impact of this unavailability on the Client’s activities.

6.1 Change in applications

As the TVTY solution is made up of a set of algorithms, the Client is informed that, with a view to improvement, these algorithms are continually updated without prior notice.

Updating a process or an algorithm leads to a change in the version of the TVTY solution. These updates may or may not have an impact on the Portal Data presented.

In general, and as long as the Tracking Data is still available, a Client with results produced by different versions of the TVTY solution can request that one or all of these old campaign(s) be recalculated with the most up-to-date version, subject to technical feasibility.

7. License

TVTY is and remains the owner of the property rights relating to any element of the Application Services and Solutions made available to the Client, as well as, more generally, the IT infrastructure (software and hardware) implemented or developed in terms of the Contract.

Without prejudice to the foregoing, TVTY grants the Client a personal, non-exclusive, non- transferable and non-assignable right to use the Solutions, for the entire duration of the Contract and for the entire world. The Client may only use the Application Services and the Solutions in accordance with their purpose and the provisions hereof and their documentation. In particular, the license relating to the Solutions is granted for the sole and exclusive purpose of allowing the Client to use the Services, to the exclusion of any other purpose.

The right of use means the right to access and implement the Application Services in accordance with their purpose, in SaaS mode via a connection to an electronic communications network. The Client may not under any circumstances make the Solutions available to a third party, and strictly refrains from any other use, in particular any adaptation, modification, translation, arrangement, distribution, decompilation, without this list being exhaustive.

8. Maintenance

TVTY is responsible for the corrective and ongoing maintenance of the Solutions.

A telephone or email support service to deal with anomalies is available under the conditions defined in the section below. Reports of anomalies shall be confirmed by e-mail by the Client to TVTY without delay. TVTY diagnoses the anomaly and then corrects it within a reasonable period of time and in accordance with usual practice and know-how in the field. This period may vary depending on the type of anomaly.

TVTY is not responsible for maintenance in the following cases:

  • Refusal of the Client to collaborate with TVTY in the resolution of anomalies and in particular to answer questions and requests for information;

  • Use of the Application Services in a manner that is not in accordance with their purpose or documentation;

  • Unauthorized modification of the Solutions by the Client or a third party; Failure by the Client to fulfil its obligations under the Contract;

  • Implementation of any software package, software or operating system not compatible with the Application Services;

  • Use of incompatible consumables;

  • Failure of electronic communication networks;

  • Voluntary act of degradation, malevolence, sabotage of TVTY’s Services and Products;

  • Deterioration due to a case of force majeure or misuse of the Application Services by the Client.

8.1 Operating procedure 

The TVTY solution is a SaaS solution. Updating the customer portal may interrupt the Service. If possible, these migrations will be carried out during the non-working hours and with the objective of minimizing the unavailability of Services.

9. Technical Assistance

The Client shall be answered by email, Monday to Friday, from 10am to 6pm, within a maximum period of 4 hours, to the support email address specified in the order form.

In addition, the Client may also request assistance during the technical configuration provided for the correct use of the Solution. If necessary, the additional Service provided to the Customer may be invoiced. In this case, a prior quotation will be submitted to the Customer.

10. Personal data

10.1. Processing of personal data carried out by each party as data controller 

As part of the execution of the Contract and the administration of the commercial relationship between them, each Party may collect certain personal data relating to the other Party’s employees, agents and/or legal representatives. Such data shall only be collected and processed by each Party, as independent data processor, for the following purposes, except as otherwise permitted by applicable law:

  • Carrying out administrative operations related to contract management, orders, invoicing and payments;

  • Maintaining the commercial relationship with the other Party, as well as maintaining up-to-date documentation and contact file about the other Party;

  • Informing the other Party of the evolutions concerning the first Party’s services;

  • Managing possible complaints.

The personal data collected in this context shall only be intended for each Party’s internal services and, where applicable, for each Party’s data processors acting on its behalf and in accordance with its instructions.

The personal data collected in this context will be retained for the duration of this Contract, which may be increased by the duration of the applicable statute of limitations. Where applicable, data subjects have a right of access, rectification, deletion and portability of their data, as well as the right to oppose and request the limitation of the processing of their personal data. Where such rights are applicable, these rights can be exercised by contacting the Party acting as the data controller of the concerned processing. Data subjects may also have a right to lodge a complaint to the competent data protection authority.

10.2. Processing of personal data carried out by TVTY as data processor

In the course of providing the services under this Contract, TVTY will collect and process certain personal data as data processor, acting on behalf of and according to the instructions of the Client, which is the data controller.

The description of the concerned processing as well as of the specific obligations of the Parties in this context are set out in the data processing agreement in Appendix 1 of this Contract.

11. Financial terms

11.1. Offer – Prices

The Services and/or Products, which are the subject matter of the Contract, shall be invoiced to the Client in accordance with the current price list appearing on the order form signed by the Client.

The prices may be revised by TVTY at any time, excluding order forms already signed, and become applicable immediately after TVTY has informed the Client of the new prices.

The fees for the Services are indicated in USD and are exclusive of tax and charges. The billing address is the address of the Client’s registered office.

The following Services are excluded from the fee and may give rise to separate invoicing, after a quotation has been given to the Client:

  • Technical Assistance Services,
  • And more generally, all Services not included in the SaaS offer.

11.2. Invoicing

Invoices are issued in electronic format at the end of the campaigns conducted. The Client agrees to receive invoices by this means of transmission.

An invoice that has not been contested by the Client within fifteen (15) calendar days from the date of receipt is definitively accepted by the latter in principle and in amount. Any dispute raised by the Client against an invoice may under no circumstances exempt it from payment.

11.3. Payment terms

Payment for the Products or Services shall be received by TVTY within the period indicated on the invoice or within 30 days from the date of the invoice if no period is specified.

11.4. Delayed/Defaulted payment

Payment of the invoice by the Client is made on the due date and according to the methods provided for in the order.

Without prejudice to possible damages, the Client’s delayed or defaulted payment of an invoice on its due date automatically leads to:

  • The application of interest for late payment;
  • The payment of the indemnity for collection costs, the amount of which is equal to the actual amount of the collection costs borne by TVTY;
  • Additional bank and management costs (collection follow-up, follow-up letters and telephone charges, representation of direct debit rejections).

Without prejudice to any other rights or remedies available to TVTY, TVTY shall have the right, where any amount due to it from the Client under the Contract is not paid on the due date, to cancel or suspend performance of the Contract or any order, including to suspend deliveries of the Software and the provision of Services until a payment or credit settlement satisfactory to TVTY is obtained.

11.5. Annual price review

TVTY reserves the right to re-evaluate the price of its subscriptions annually. TVTY reserves the right at any time, should it improve its Products or Services, to re-evaluate its pricing conditions. This change in no way affects the quotes already issued or those signed by its Clients.

12. Postponement or cancellation of an order

12.1. Cancellations after the deadline

Any postponement of an advertising order signed or validated by e-mail by an advertiser or its corporate representative shall imperatively be sent to TVTY by e-mail and shall be subject to the following penalties:

  • 70% of the amount cancelled for a notification made less than 5 working days before the date of the first TV broadcast;

  • 50% of the amount cancelled for a notification made less than 15 working days before the date of the first TV broadcast;

  • 30% of the amount cancelled for a notification made less than 30 working days before the date of the first TV broadcast;

  • 80% of the amount cancelled for a notification made after the date of first TV broadcast.

The fixed costs for the implementation of the campaign (“on-boarding”) shall be due in full if the tag has been placed on the Client’s website.

13. Liability

Each Party shall be liable for the consequences of direct and foreseeable damage caused to the other Party resulting from its faults, errors or omissions, as well as from the faults, errors or omissions of its subcontractors, if any. Furthermore, only faults proven by the Client may lead to compensation by TVTY. Consequently, TVTY may under no circumstances be held liable for indirect or unforeseeable loss or damage by the Client or third parties, including in particular any lost profits, loss, inaccuracy or corruption of files or data, commercial prejudice, loss of turnover or profit, loss of clients, loss of opportunity, cost of obtaining a substitute product, service or technology, in relation to or arising from the non-performance or improper performance of the services.

Furthermore, TVTY may not be held liable for the accidental destruction of Tracking Data or Portal Data by the Client or a third party having accessed the Application Services by means of the Identifiers given to the Client.

TVTY may under no circumstances be held liable for any damage caused by an interruption or  reduction in service from the telecommunications operator, the electricity supplier or in the event of force majeure.

The Client declares that it is aware of the characteristics and limitations of the Internet. Data transmissions over the Internet are only relatively reliable from a technical point of view. No one can guarantee the proper functioning of the Internet. The data circulating on the Internet is not protected against possible misappropriation For this reason the communication of passwords confidential codes and any information of a sensitive nature is done at the Client’s own risk.

It is expressly understood that the Client alone assumes its own financial, industrial and professional risks. In any case, in the event of TVTY’s determined and proven liability for any cause whatsoever, the compensatory allowances or damages that TVTY may be required to pay to the Client shall not exceed the amount of the fees paid by the Client for the use of the Service or the Product of TVTY, as shown on the order form.

14. Insurance

TVTY has taken out the necessary insurance to cover the risks associated with the performance of its activity. It undertakes to provide the Client with any proof, if the Client expressly requests it.

15. Confidentiality

Each Party undertakes to:

  • Keep confidential all information it receives from the other Party;

  • Not to disclose the other Party’s confidential information to any third party, other than employees or agents with a need to know;

  • To use the other Party’s confidential information only for the purpose of exercising its rights and fulfilling its obligations under the Contract.

Notwithstanding the foregoing, neither Party shall have any obligation whatsoever with respect to information that (i) has or would become publicly available through no fault of the Party receiving it, (ii) is independently developed by the Party receiving it, (iii) is known to the Party receiving it before it is disclosed to it by the other Party, (iv) would legitimately be received from a third party not submitted to an obligation of confidentiality, or (v) would have to be disclosed by law or by order of a court (in which case it should be disclosed only to the extent required and after giving written notice to the Party providing it).

An exception to this confidentiality clause may be made in the event of a request from the judicial authorities ordering TVTY to produce information relevant to an investigation, without the obligation of professional secrecy being invoked unless there is a legitimate reason to do so. TVTY shall inform the Client of any such request.

TVTY is obliged to ensure that it complies with its legal obligations as a SaaS host.

In particular, the Client is informed and accepts that TVTY retains, for the duration and under the regulatory conditions, the data likely to enable the identification of anyone which contributed to the creation of the content of the Service, with a view to its possible communication in court. Subject to this reservation, TVTY is obliged to observe the strictest professional secrecy with regard to this data.

The Parties’ obligations with regard to confidential information shall remain in force throughout the term of the Contract and as long as, after its expiry, the information concerned shall remain confidential for the Party disclosing it and, in any event, for a period of 10 years after the expiry of the Contract.

Each Party shall return all copies of documents and media containing the other Party’s confidential information as soon as the Contract ends, regardless of the cause. The Parties also undertake to ensure that these provisions are complied with by their staff, and by any employee or third party which may intervene in any capacity whatsoever in terms of the Contract.

However, TVTY will have the possibility to use the Portal data in an aggregated and anonymous form for the preparation of statistics, reports and other studies, internal or external to TVTY. The only information that can be used and disclosed by TVTY shall be global data which cannot be referred to or attributed to a particular client. Any other use is subject to the prior written consent of the Client.

16. Force majeure - Suspension of obligations

Neither Party may be held liable for failure to fulfil its obligations under the Contract in the following cases qualified as force majeure by the Parties: Failure resulting from a government decision, including any withdrawal or suspension of authorizations of any kind, failure resulting from a total or partial strike, internal or external to the company, fire, natural disaster, state of war, total or partial interruption or blockage of the telecommunications or electrical networks, acts of computer piracy, any unavailability due to causes outside TVTY’s control. The Party ascertaining the event shall immediately inform the other Party of its inability to perform.

In the event of the occurrence of a case of force majeure the obligations of the Parties shall be suspended.

The suspension of obligations or delay may under no circumstances be a cause for liability for non- performance of the obligation in question, nor result in the payment of damages or late penalties.

If the case of force majeure persists beyond a period of 7 days, this Contract may be automatically terminated by either Party. In the event of termination, the Client shall cease to use any access codes to the Solutions and Application Services.

17. Termination of a party's obligations

In the event of non-compliance by one Party with its obligations under this Contract, the other Party may terminate the Contract after giving a 15-day notice period.

For the Client: 

Failure by TVTY to provide the Service / Product in accordance with the General Terms and Conditions.

For TVTY:

  • Non-payment of due invoices by the Client Misuse of the Services by the Client
  • Non-compliance by the Client with the Personal Data clause

It is expressly understood that such termination shall take place automatically, without formalities.

In any event, the Injured Party may seek damages in court, without prejudice to the application of penalties attributable to the Client, in particular for late payment.

18. Reversibility

In the event of termination of the contractual relationship, whatever the cause, TVTY undertakes to destroy the Indexes provided by the Client in terms of the execution of this Contract, as well as all backups made by the Client.

However, in order for the Client to keep a history, the data of its past campaigns shall be kept 18 months after the end of the contractual relationship between the parties.

The provisions of Appendix 1 of theGeneral Conditions shall prevail over any conflicting provisions contained in this Section with regard to personal data.

19. Circulation of the contract

As the Contract is concluded “intuitu personae”, the Parties shall refrain, on the one hand, from transferring, for any reason and in any form whatsoever, whether for payment or free of charge, the Contract or any of    their rights and obligations to a third party and, on the other hand,  from  giving  a  third  party  the  performance of all or part of their contractual obligations.

However, these prohibitions may not be opposed to legal obligations of public order, nor to the prior written authorization of the Parties.

20. Amendment - Entirety

Any modification of the General Conditions will be brought to the attention of the Client. The Client shall not be bound by the new version of the General Conditions until it has expressly accepted it.

It represents the entire commitments existing between the parties. It replaces and supersedes any previous oral or written commitment relating to the subject matter of this contract.

21. Partial invalidity - Severability of Clauses - Waiver - Prevalence

The nullity, lapse, lack of binding force or unenforceability of any or all of the provisions of the Contract shall not entail the nullity, lapse, lack of binding force or unenforceability of the other provisions, which shall retain all their effects. However, the Parties may, by mutual agreement, agree to replace the invalidated stipulation(s).

It is formally agreed between the Parties that any tolerance or waiver by either Party in the application of all or part of the commitments provided for in the Contract, regardless of the frequency and duration thereof, shall not be deemed to constitute an amendment of the Contract, and it may also not create any right whatsoever.

In the event of possible contradictions between one or more provisions contained in the General Terms and Conditions and one or more provisions of the order form, the latter shall prevail.

22. Notifications

All notices and other communications in connection with the Contract may be delivered by hand, sent by registered mail with acknowledgement of receipt in a duly stamped envelope or transmitted by fax or e- mail, to the address and to the attention of the person indicated on the last written notice in this respect sent by one party to the other party.

This is also the address to be taken into account for the service of procedural documents in accordance with the law. Such notifications and other communications shall be deemed to have been received:

  • In the case of hand-delivery, on the day of delivery to the relevant address (or, if that day is not a working day, on the first working day thereafter);

  • If sent by registered letter with acknowledgement of receipt, on the day indicated on the acknowledgement of receipt;

  • If sent by fax, on the day indicated on the automatically generated acknowledgement of receipt (or, if that day is not a working day, the first working day thereafter);

  • If sent by email, (i) when the receiving party acknowledges receipt of the message, or (ii) when the sending party receives an automatically generated message confirming that its message has been delivered or opened, whichever occurs first.

23. Disclosure

The Client authorizes TVTY to mention its name and logo as a commercial reference on any medium useful for its prospection and in particular by inserting a hyperlink on its website redirecting to the Client’s website. This mention free of charge shall not be subject to any compensation or remuneration in any way whatsoever. The Client may terminate this authorization at any time by written notice.

The Client undertakes to mention TVTY (“Source www.TVTY.tv”) any reproduction and/or representation of elements and/or data extracted via the Solutions that it may be required to communicate to third parties (prospects, clients, press, other media, etc.) and to accompany them with the information necessary for the proper intelligibility of the elements or data presented. For any reproduction and/or representation of elements and/or data extracted via the Solutions that it may be required to communicate to third parties, the Client undertakes not to make any changes to the information communicated by TVTY.

TVTY grants the Client, free of charge, a right to use its name and logo for the sole purpose of fulfilling the obligations set out in this paragraph. TVTY may nevertheless terminate this authorization at any time after the end of the Contract.

24. Guarantee of peaceful possession

The Partner declares and guarantees:

  • That it is the holder of all intellectual property rights that enable it to enter into the Contract.
  • That the Solutions are not likely to infringe the rights of third parties.

25. Applicable law - Jurisdiction - Language of the contract

The interpretation, validity and performance of the Contract shall be governed by New York law, to the exclusion of any other legislation.

The language used in any dispute resolution or other proceedings shall be the English language.

Any dispute arising from the interpretation or execution of the service shall be the subject of an attempt at amicable settlement. To this end, the Parties agree to meet to settle their dispute in terms of a meeting organized at the initiative of either Party. The Parties agree to meet within 15 days of receipt of a registered letter with acknowledgement of receipt notified by either Party.

In the absence of an amicable solution, the Parties attribute exclusive jurisdiction to the Commercial Court of New York, USA for any legal action resulting from a dispute, including in the event of summary proceedings, multiple defendants or introduction of third parties. The various methods of dispatch or payment, our provisions for acceptance of payment or cash on delivery acceptances, may not result in any novation or derogation from this jurisdiction clause.

Appendix 1
Data Processing Agreement

1. General provisions

1.1 This Data Processing Agreement (“the DPA”) is an integral part of the Contract and supplements the provisions of Article 10 thereof.

Its purpose is to set forth the obligations of the Parties relating to the processing of personal data carried out by TVTY in the context of the the performance of the Contract, in a capacity as data processor acting on behalf of and in accordance with the instructions of the Client, which is the data controller and which, in this respect, determines the purposes of the processing.

1.2 In this DPA, “Processor” refers to TVTY and “Controller” refers to the Client.

The other words and expressions used in this DPA shall have the meaning assigned to them, where applicable, in the applicable laws and regulations pertaining to the protection of personal data (hereinafter the “Personal Data Regulations”).

2. Instructions of the Controller

2.1. The characteristics of the processing of personal data that the Processor carried out on behalf of the

Controller, as well as the instructions of the latter on the date hereof, are detailed in Supplement 1 to this Appendix (hereinafter the “Processing Instructions”).

During the term of the DPA, the Controller undertakes to communicate and, if necessary, to update in writing the Processing Instructions, and more generally to document in writing any additional instructions relating to the processing of personal data expected from the Processor in the context of the performance of the Contract, which will also constitute Processing Instructions. The Processor cannot be held liable for failure to comply with an instruction that has not been documented in writing by the Controller.

The Processor will process the personal data solely in the context of the performance of the Contract, of the Processing Instructions and of any other documented instructions of the Controller, unless otherwise required by the Personal Data Regulations. In such a case, the Processor will inform the Controller of this requirement prior to its implementation unless the relevant regulations prohibit such information. The Processor will not (i) except in accordance with the Contract or Personal Data Regulations, sell personal data, share personal data for cross-context behavioral advertising purposes, or retain, use, or disclose personal data for a commercial purpose other than performing the Contract or in the context of the direct business relationship between Controller and Processor; or (ii) combine personal data with personal data received from another source except in accordance with the Contract or Personal Data Regulations. Processor certifies that it understands and will comply with this DPA.

2.2. Prior to the transmission of the Processing Instructions, the Controller represents and warrants that the characteristics of the processing operations covered by this DPA are compliant with the Personal Data Regulations, in particular with regards to the purposes of processing, the legal bases, any notices or other information provided to data subjects, and, if applicable, the obtention of consent from the data subjects, as well as the determination of retention periods.

2.3 Without prejudice to the provisions of article 2.2, if the Processor considers that a Processing Instruction constitutes a breach of the Personal Data Regulations, it will inform the Controller. However, the Processor shall not be required to analyze the lawfulness of the Processing Instructions. If the Processor informs the Controller of a Processing Instruction it perceives to be unlawful, the parties may discuss their legal positions, but the final decision will be taken by the Controller under its sole responsibility.

3. Confidentiality and security of personal data 

3.1 The Processor shall ensure that the persons under its responsibility and authorized to process personal data have committed themselves to confidentiality or are under an appropriate statutory obligation of confidentiality.

3.2 The main technical and organizational security measures implemented by the Processor on the date of signature of the Contract are described in Supplement 2 of this Appendix entitled “Security”.

The Processor may make changes to these measures during the term of the DPA provided that it maintains
an equivalent or higher level of security, which must remain adapted to the risks. The Processor undertakes to communicate updates to the security measures upon written request from the Controller.

3.3 The Processor undertakes to notify the Controller of any breach of personal data relating to the processing covered by the DPA, as soon as possible after being informed of it. This notification will be supplemented, as far as possible, with all useful information available to the Processor in order to allow the Controller to assess the nature and consequences of the personal data breach, to notify the competent supervisory authority and, where appropriate, the data subjects. The Controller is solely responsible to notify, where appropriate, personal data breaches to the competent supervisory authority as well as to the data subjects.

4. Information and rights of data subjects

4.1. The Controller is solely responsible to draw up and communicate to the data subjects any information relating to the conditions of processing of their personal data or to their rights concerning such processing, in accordance with the Personal Data Regulations.

4.2. Without prejudice to the foregoing, the Processor will make its best efforts to assist the Controller in complying with the requirements of the Personal Data Regulations, in particular regarding the technical content of the information provided to the data subjects and the exercise of their rights. In the latter case, the Processor undertakes to communicate without delay to the Controller any request received from the data subjects concerning the exercise of their rights and the information needed to respond to these requests, insofar as such information is available to the Processor. The costs associated with any assistance work requested from the Processor by the Controller in relation to the exercise of their rights by data subjects will be borne the Controller if it represents more than two (2) hours of work by Processor.

5. Sub-processors

5.1. The Controller generally authorizes the Processor to use sub-processors, subject to the below.

The list of sub-processors is presented for each processing in Supplement 1 of this Appendix. The Processor must inform the Processor in writing before any modification of this list occurring after the effective date of the Contract. Within eight (8) business days following the transmission of this information, the Controller may raise written and reasoned objections regarding the planned modification. If the Controller objects to the addition of a sub-processor that is essential for the purposes of Processor’s provision of the services requested by the Controller, due to the sub-processor’s expertise, material capacities, market positioning and/or any other objective criteria communicated by the Processor to the Controller, the Processor may not be held liable in the event of impossibility or failure to provide all or part of the concerned services.

5.2. Any contract signed between the Processor and a sub-processor shall impose on the sub-processor obligations at least equivalent to those provided for in this DPA.

6. Transfers outside of the European Union 

The following conditions must be met prior to any transfer, by the Processor, of personal data processed on behalf of the Controller to a country located outside of the European Union that has not been subject to an adequacy decision by the European Commission:

  • Obtaining a written authorization from the Controller. On the day of signature of the Contract, the Controller gives its authorization for the transfers described in Supplement 1 of this Appendix
  • Setting up one of the appropriate safeguards referred to in section 46 of the GDPR.
  • Where appropriate, putting in place additional technical and/or organizational measures to ensure that the rights of the data subjects whose personal data are transferred to a third country effectively benefit from a level of protection substantially equivalent to that guaranteed within the European Union, taking into account the risks identified with regard to possible access by the public authorities of the concerned third country, based on an analysis of the relevant elements of that country’s legal system.

7. Consequences of the termination of the Contract

Upon expiry of the retention periods indicated in the Processing Instructions and in any event at the end of the Contract, the Processor shall delete all personal data processed under this DPA or return them to the Controller or to any person designated by him, at the latter’s choice expressed in writing.

At the end of these operations, the Processor will delete any existing copies, without prejudice to Processor’s right to temporarily retain all or part of the personal data processed within the framework of this DPA, for the purpose of proving that it has properly performed its contractual obligations, or to comply with a legal retention obligation.

8. Cooperation and proof of compliance

8.1 The Processor will make its best efforts to assist the Controller in carrying out required data protection impact assessments and, where appropriate, in consulting the competent data protection authority. The costs associated with the Processor’s assistance work in this context shall be borne by the Controller in accordance with any quote for such assistance provided by the Processor.

8.2. The Processor shall communicate to the Controller, within a reasonable period of time following the latter’s written request, all the information in its possession that is necessary to demonstrate the compliance of the personal data processing operations that it carries out under this DPA.

8.3. Subject to the conditions set out below, the Processor undertakes to cooperate with the Controller, upon the latter’s written request, in relation to audits and inspections intended to verify the Processor’s performance of its obligations under this DPA.

The Controller may conduct a maximum of one (1) audit or inspection per contractual year. However, this limit is not applicable in the event of a security incident resulting in a personal data breach. In such an event, the Controller may carry out a specific audit or inspection following the security incident, without prejudice to the possibility of carrying out a second audit or inspection during the same contractual year.

The Controller must inform the Processor of the planned verification operations at least thirty (30) business days before the start of the audit, by registered letter with acknowledgement of receipt. This thirty-day period may be reduced to fifteen (15) business days in the event of an audit following a security incident resulting in a personal data breach. If the Controller uses an external auditor, the latter must not carry out activities competing with that of the Processor. Prior to the audit, the Controller and the external auditor shall sign a confidentiality agreement. The external auditor must, in particular, undertake to use the information accessed in the context of its mission solely for the purposes of carrying out the audit.

The Controller will bear the costs of any audits or inspections that it decides to conduct. The operations carried out by the Processor in the context of the audit or inspection will give rise to the transmission of a fee quote by Processor which must be accepted by the Controller prior to the carrying out of said operations by the Processor.

8.4. The audit report must be sent to the Processor within fifteen (15) business days of the completion of the audit. The Processor may make any comments on the audit report within fifteen (15) business days, and such comments shall be incorporated into the final audit report. The Parties will meet and discuss any measures to be put in place following the audit.

Supplement 1 to the Data Processing Agreement Processing Instructions

Processing no. 1 – Measuring the performance of TV or radio advertising campaigns

Subject-matter :

Measurement the performance of the Controller’s TV or radio advertising campaigns.

Nature :

Placement of cookies and other tracers; collection, recording, organization, retention, aggregation, and anonymization of personal data.

Purposes:

  • Measuring the impact of the Controller’s TV or radio advertising campaigns on the number and nature of the visits of the latter’s website(s).
  • Optional: Measuring the actions of offline conversion of the Controller’s customers following the broadcast of the Controller’s TV or radio advertising campaigns.
Categories of personal data:
 
  • Data related to the navigation on the websites and/or the mobile applications (timestamp, IP address of the users, technical data related to the equipment and browser used by the users, cookies identifier, pages visited).

  • In the context of the optional purpose described above: Data relating to telephone calls made by consumers to the call center(s) of the Controller following the broadcast of the radio or TV advertisement (timestamp, duration and nature of the call, number called, optionally: pseudonymous identifier allowing to link a phone call with a website or a mobile application visit).

Categories of data subjects:

  • Internet users visiting the website(s) or the mobile application(s) of the Controller.
  • In the context of the optional purpose described above: Consumers calling the call center of the Controller.

Transfers outside the EU to non-adequate countries

TVTY exclusively uses servers located within the European Union, including when the servers are managed by Amazon Web Services EMEA and Google Ireland Limited. 

Any transfers of personal data subsequently carried out by these companies, as part of the provision of their services to TVTY, are governed by the following contractual documents:

Global security measures

Restricted and protected access

The servers on which personal data is stored and processed are not publicly accessible. They are accessible through an internal network and from a dedicated secure VPN where:

  • the certificate of the “data” VPN has a lifespan of 3 months,
  • the key of the “data” VPN is personal,
  • access to the “data” VPN is only granted to IT and Data team members,
  • IT and Data team members may only connect within the EU.

To access the machines and processes containing personal data, it is necessary to go through a stronghold where all the connections and requests made are logged.

Retention

Data retention can be configured by the Customer but cannot exceed 13 months.

Presentation of aggregated data

Customer interfaces should only present aggregated data.

Infrastructure isolation

  • The infrastructure on which personal data is processed is kept separate from the infrastructure used to present the results made available to clients.
  • The data collected is processed separately and compartmentalized by client.
  • The data processing is composed of a processing chain. In this chain, personal data is processed as soon as possible in order to minimize the use of personal data.

Use of secure protocols

When data is to be exchanged, it must be transmitted using a secure exchange protocol.

When identifiers are shared, they must be shared in a secure manner.

Specific security measures

  • It is recommended that all shared IDs be hashed.
  • Within the framework of a call-center type data exchange, it is specifically requested that:
    • if the caller ID is a telephone number, then this ID must be hashed with a salt known only to the Customer
    • a secure means is used to transmit the identifiers used to send this data
